Consummation of the roll-up transaction

In connection with entering into capital markets transactions in a Roll-Up, we prepare the initial draw request for the revolving credit facility and utilize proceeds from the same to pay for costs of the Roll-Up (and to reimburse the sponsor for costs it has expended to-date in connection with the Roll-Up). We also assist management in redeeming certain investors with proceeds from an investment by institutional investors and/or the revolving credit facility. We then also assist management in preparing letters to all stakeholders (i.e., investors, lenders, employees, etc.) informing them of the consummation of the Roll-Up and reminding them of its related benefits.
